Overview of Seychelles

 

Seychelles is currently an offshore tax haven on the rise, one of the most competitive and gaining confidence quickly. With offshore corporate legislation based on the time-tested concepts of some of its most successful competitors, and after a methodical improvement and modernisation, Seychelles now has an offshore corporate package that is hard to beat.

 

Seychelles International Business Company (IBC) Registration

 

The International Business Company is the most widely used vehicle for offshore operations in the Seychelles; it normally takes the form of a private company limited by shares, but can also be a Limited Life Company. The governing legislation is the International Business Companies Act 1994 (as amended). Statutory requirements are minimal, and flexible:

 

(1)  Only one director and one shareholder are required;

(2)  Shareholders, directors and officers need not be resident in the Seychelles and there is no stipulation as to their nationality;

(3)  There is no minimum capital requirement; shares may be either registered or bearer and may be issued in any currency;

(4)  Prior to 2012, accounts need not be kept; however, if they are kept there is no requirement for an audit.

(5)  No returns are needed of shareholders, directors or officers;

(6)  Shareholders and directors meetings need not be held in the Seychelles and can be held by telephone;

(7)  A copy of the share register must be kept in the Seychelles (this rule is effective from 27 December, 2011 and all IBCs must comply by 1 January 2013. This rule also applies to a register of directors and officers.

(8)  The Memorandum and Articles of Association are the only documents to be held on the public record.

 

In order to qualify as an IBC, a Seychelles company must satisfy the following criteria:

 

(1)  May not carry on business in Seychelles.

(2)  May not own real estate in Seychelles.

(3)  May not do banking, insurance and registered agent business without special license.

 

However, a Seychelles IBC may still engage into any of the following:

 

(1)  It may maintain Seychelles-based bank accounts and deposits.

(2)  A Seychelles IBC may maintain professional relationship in Seychelles with attorneys, accountants, trust and management companies, investment advisers or other similar persons.

(3)  It may hold meetings of its directors in Seychelles.

(4)  It may maintain books and records within Seychelles.

(5)  It may lease a property in Seychelles to use as office from which to communicate with members and where books and records can be kept.

(6)  A Seychelles IBC may also own a vessel or and aircraft registered in Seychelles.

(7) Shares in a Seychelles IBC may also be held by a person resident in Seychelles.

(8) It may hold shares, debt obligations or other securities in another Seychelles IBC or in a Seychelles domestic company.

(2)  Residential addresses with proof of all directors and shareholders, such as utility bill, telephone bill.

(3)  Amount of share capital (unless otherwise advised, all company will be incorporated with a standard share capital of 50,000 shares) and percentage of shareholding by each shareholder, if more than one shareholder

(4)  Proposed name of the company

(5)  A brief description of the principal busienss activities of the new company
